Terms of Service

1. What Fair-Repairs is

Fair-Repairs ("Fair-Repairs," "we," "us") operates an online marketplace that connects car owners ("Customers") with independent repair shops ("Shops," together with Customers, "Users"). Customers post repair jobs, Shops place bids, and Customers choose a Shop. Fair-Repairs is a technology platform only. We do not inspect vehicles, perform repairs, employ or supervise Shops, or guarantee the quality, safety, legality, or outcome of any repair.

2. Independent contractor status

Shops are independent businesses. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between Fair-Repairs and any Shop or Customer. Shops are solely responsible for their own licensing, insurance, tax obligations, employees or subcontractors, and compliance with applicable law. Fair-Repairs does not direct or control the manner, means, or methods by which a Shop performs repair work.

3. Payments and escrow

When a Customer accepts a bid and pays, funds are held in escrow via our payments processor, Stripe, and released to the Shop when the Customer marks the job complete (or automatically after the disclosed auto-release period if the Customer does not respond). If a Shop identifies additional necessary work once a job is underway, it may propose a change order describing the extra scope and cost; work on that additional scope does not begin until the Customer approves and pays for it, and those funds are held in escrow the same way as the original payment. Fair-Repairs retains a platform commission from each completed job and change order. Fair-Repairs is not a bank and does not itself hold funds outside of Stripe's regulated payment infrastructure.

4. Refunds and cancellations

A Customer may cancel and receive a full refund of escrowed funds any time before the job is marked complete. Self-service cancellation is available up until the Shop marks the repair work as finished; once the Shop has done so, the Customer must confirm completion or open a dispute rather than self-cancel, and Fair-Repairs may resolve the dispute at its discretion (including a refund, partial refund, or release of funds to the Shop). Once a job is completed and funds are released to the Shop, refunds are a matter between the Customer and the Shop. Fair-Repairs may, at its discretion, help mediate a dispute but is not obligated to resolve it or to refund released funds.

5. Responsibilities and conduct

Shops are solely responsible for the quality, legality, safety, and warranty of their work. Customers are responsible for providing accurate job information and for the condition and legal status of their vehicle. Users agree not to circumvent the platform's payment or escrow system, misrepresent their identity or qualifications, or use the platform for any unlawful purpose. Fair-Repairs may suspend or terminate any account, at its discretion and without prior notice, for violation of these Terms, suspected fraud, or abusive conduct.

6. Disclaimer of warranties

The platform and all repair services arranged through it are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, or non-infringement. Fair-Repairs does not warrant that the platform will be uninterrupted, error-free, or secure, or that any Shop's work will meet a Customer's expectations.

7. Limitation of liability

To the maximum extent permitted by law, Fair-Repairs and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from or related to use of the platform or any repair performed by a Shop — including damage to a vehicle, personal injury, or property damage — regardless of the theory of liability. Fair-Repairs' total aggregate liability to a User for any claim arising out of these Terms or the platform will not exceed the greater of (a) the platform commission Fair-Repairs actually retained from the job giving rise to the claim, or (b) one hundred dollars ($100).

8. Indemnification

Each User agrees to indemnify, defend, and hold harmless Fair-Repairs and its officers, employees, and affiliates from any claim, damage, loss, or expense (including reasonable attorneys' fees) arising out of: (a) the User's use of the platform; (b) a Shop's performance of, or failure to perform, repair work; (c) a User's breach of these Terms; or (d) a User's violation of any law or third-party right.

9. Intellectual property and content

Users retain ownership of content they submit (job descriptions, photos, messages, reviews) but grant Fair-Repairs a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content as necessary to operate and promote the platform. Users represent that they have the right to submit any content they post.

10. Dispute resolution and governing law

These Terms are governed by the laws of [STATE], without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the platform will be resolved through binding individual arbitration in [COUNTY, STATE], rather than in court, except that either party may bring an individual claim in small claims court. 11. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated via the platform or by email. Continued use of the platform after a change takes effect constitutes acceptance of the revised Terms.
